Master Terms of Use & Experiential Framework Agreement

Preamble: Juridical Boundaries and Binding Agreement

This Master Terms of Use (“Terms”) is an ironclad, multi-jurisdictional corporate contract executed by and between the individual user, corporate client, brand partner, enterprise deployer, or automated algorithmic data-consumer (hereinafter “the Client”, “you”, or “your”) and Maison Elaris Group, inclusive of its global parent entities based in Dubai, UAE, and its wholly-owned subsidiaries, regional hubs, and experiential affiliates worldwide (collectively, “Maison Elaris”, “the Company”, “We”, “Us”, or “Our”).

Legal Notice & Assent Mandate

By accessing maisonelaris.com, engaging with our conversational layers, interacting with our autonomous AI agents, integrating our strategic media planning engine, discovering our attention dashboards, or registering for our physical/digital experiential events, you unconditionally covenant and agree to be bound by every clause, liability waiver, indemnity, and jurisdictional carveout contained in this document.

If you are entering into this agreement on behalf of a corporate entity, you represent that you possess the legal authority to bind said entity. If you do not agree to these Terms, you lack authorization to accumulate cybernetic connections to our platform and must cease use of all services immediately.

1. The Agentic & Experiential Service Ecosystem

Maison Elaris operates an advanced, next-generation infrastructure blending Autonomous Multi-Agent Media Communication, Automated Digital Strategy Sprints, Real-Time Attention Analytics, and Hybrid Experiential Events. The Client acknowledges and accepts the technical and physical operational structures defined below:

  • Agentic Communication Layers: Our services utilize autonomous and semi-autonomous AI entities (“AI Agents”) configured to dynamically generate media communications, script iterations, marketing architectures, and interactive client-facing experiences.
  • The Non-Deterministic Standard: All generated texts, synthesized media arrays, audio vocal clones, visual avatar architectures, and structural dashboard forecasts (collectively, “Outputs”) are probabilistic outcomes derived from multi-agent processing workflows. They represent statistical and creative correlations rather than definitive, unalterable human statements or professional declarations.
  • Hybrid Experiential Events: Maison Elaris designs, orchestrates, and executes high-tech physical activations, digital experiential events, immersive installations, and strategic workshops utilizing real-time crowd telemetry, spatial audio, and interactive tracking hardware.
  • No Fiduciary Status: No Output or live communication delivered by an AI Agent or an experiential presentation—regardless of whether it addresses market positioning, brand transformation, or data analytics—constitutes professional legal, financial, architectural, or medical advice. The Company disclaims all fiduciary duties to the Client.

2. Prohibited Operational Conduct & System Security

The integrity of our multi-agent framework requires secure, intended interaction parameters. Maison Elaris maintains a strict, automated zero-tolerance policy for any structural or code-based exploitation of our Platform. You are explicitly prohibited from executing or facilitating:

  • Prompt-Injection & Model Jailbreaking: Employing linguistic manipulation, hidden parameter commands, adversarial text overrides, or structural hacks designed to force our AI Agents to bypass safety filters, corporate instruction layers, or regulatory boundaries.
  • Model Extraction & Distillation: Using high-velocity programmatic scripts, automated scrapers, or continuous API requests to map input-output structures for the purpose of reverse-engineering, benchmarking, copying, or training competing generative marketing frameworks or large language models.
  • Telemetry Forgery: Spoofing tracking parameters, injecting fraudulent signals into our attention dashboards, or manipulating tracking nodes to falsify engagement scores (such as view-time, scroll-stop percentages, or replay counts).
  • Event Infrastructure Tampering: Attempting to intercept, manipulate, or inject code into the physical or digital tracking systems, spatial telemetry devices, interactive projection hardware, or local network routers utilized during our physical experiential events.

3. Intellectual Property Repositories & The Gen-AI Transnational Gap

The distribution of rights within an advanced, agentic creative environment requires clear contractual ownership models:

B. The Transnational IP Gap Warning

Maison Elaris utilizes Gen-AI: Acceleration with Identity to scale media assets across global feeds. The Client explicitly acknowledges that international intellectual property law is in a state of rapid evolution regarding machine-authored works. Under various international legal interpretations (including French corporate IP precedents, European Court decisions, and various administrative limits), marketing assets generated completely by an autonomous artificial intelligence agent without direct, manifest, creative human intervention may lack traditional copyright protections, meaning they could fall into the public domain.

Maison Elaris transfers all equitable rights it holds in the Outputs to you, but makes no representation, warranty, or covenant that such Outputs are globally enforceable against third-party copyists or copyright competitors.

4. Physical Hybrid Events & Spatial Activation Liability

When you register for, attend, or sponsor a physical experiential event, spatial art installation, or live workshop run by Maison Elaris, you acknowledge the mixed nature of digital-physical environments:

  • Assumption of Physical Risks: Our events often deploy advanced technological infrastructure, including interactive low-light projections, spatial audio loops, kinetic mechanical staging, and virtual/augmented reality headsets. Attendees assume all voluntary risks associated with navigating these dynamic spaces.
  • Spatial Telemetry & Crowd Tracking: To optimize safety, movement flow, and interaction rates, our event venues may use overhead crowd sensors and spatial telemetry arrays. These tracking layers record aggregate behavioral patterns. If you do not wish to be included in aggregate tracking loops, you must notify venue management prior to entry.
  • Force Majeure Event Defeasance: Maison Elaris shall not be held liable for any cancellation, truncation, or logistical failure of a physical event due to causes beyond our reasonable corporate control. This includes grid-scale power infrastructure blackouts, satellite communications link drops, government-mandated crowd limits, severe weather anomalies, or local civil unrest.

5. System Complex Liability Allocations & Limitation Caps

Risk Allocation: The “Agentic Drift” Matrix

Because the services deploy independent, reasoning-agent frameworks designed to constantly adapt in real time based on fluid live consumer telemetry and web interaction loops, the Client acknowledges and accepts the systemic risks inherent to “Agentic Drift” and “Algorithmic Hallucination.”

Maison Elaris Group completely disclaims all warranties, express or implied, concerning the continuing structural accuracy, reasonability, legal compliance, or moral appropriateness of any conversational action or generated experience deployed by its autonomous systems. All outcomes are accessed on an “as-is” and “as-available” basis.

A. Absolute Mutual Waiver of Consequential Damages

To the maximum extent permissible under the legal codes of the UAE (including the UAE Civil Code, Federal Law No. 5 of 1985), France, the United Kingdom, and Singapore, neither party shall be liable to the other for any indirect, special, punitive, exemplary, or consequential damages. This waiver explicitly isolates and protects Maison Elaris from any claims involving:

  • Sudden reductions in ad-spend efficiency or media buying performance.
  • Loss of corporate revenue, potential capital, or overall brand equity.
  • Algorithmic account suspensions implemented by third-party media ecosystems (e.g., Meta, Google, TikTok, X) due to automated creative pacing.
  • Public relations crises or brand damage resulting from a rogue communication generated by an autonomous AI agent.

B. The Global Monetary Liability Cap

If a court or arbitration panel within a competent legal jurisdiction issues a final, non-appealable ruling holding Maison Elaris Group liable for damages, the parties agree that the total, maximum aggregate financial liability of Maison Elaris shall be strictly capped at the exact net financial compensation actually received by Maison Elaris from the Client for the specific service sprint, digital project, or platform access tier during the immediate ninety (90) day window prior to the date the actionable legal claim arose.

C. Client Indemnification Obligation

The Client agrees to fully defend, indemnify, hold harmless, and protect Maison Elaris, its corporate executives, technology engineers, and field developers from and against any third-party claims, civil lawsuits, administrative fines, or legal expenses (including elite legal fees) arising from:

  • The Client providing copyright-infringing brand briefs, source data, or assets to our AI pipelines.
  • The deployment of automated campaign materials that violate local advertising standards within your targeted consumer territories.
  • Adversarial code execution, prompt injections, or software-based intrusions against maisonelaris.com sourced from Client access codes.

6. Governing Law, Forum Selection, & Dispute Resolution

This overarching transnational framework agreement is governed exclusively by, and shall be construed in accordance with, the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates.

  • Primary Judicial Forum: For all core commercial actions, enterprise disputes, or contract interpretations, the onshore Courts of the Emirate of Dubai shall retain exclusive judicial jurisdiction.
  • Cross-Border Injunction Rights: Maison Elaris retains the explicit right to bring emergency injunctive proceedings, structural system lockouts, or intellectual property protection lawsuits against you within any international territory where a critical breach is actively occurring. This includes the high courts of Paris, London, Singapore, or Doha.

Complete Integration & Severability

These Terms constitute the entire legal agreement between you and Maison Elaris regarding the use of maisonelaris.com and our agentic services. If any single provision or sub-clause of this contract is found invalid or unenforceable by a court of competent jurisdiction, that specific provision shall be severed, and its removal shall not compromise the absolute validity and legal binding force of all remaining terms.
